(Single-Seat Membership License)

This Agreement is entered into between Maison Lu (“Licensor”)and the individual purchasing a membership (“Licensee”).

Maison Lu grants the Licensee a non-exclusive, non-transferable, limited licenseto use its digital assets (“Licensed Assets”) during an active subscription period.

This license is limited to one (1) named individual user (“Seat”).

The Licensee may use Licensed Assets on behalf of their employer, agency, or clients; however:

• Access may not be shared with other team members
• Login credentials may not be shared
• Each additional user must purchase their own license

The Licensee may use Licensed Assets for:

• Personal or commercial use
• Social media content (Instagram, TikTok, Pinterest, etc.)
• Websites, landing pages, and email marketing
• Digital advertisements and campaigns
• Client-facing materials and deliverables

Licensed Assets may be used across accounts managed by the Licensee, including those operated on behalf of an agency or client, provided the Licensee is the sole user accessing the assets.

Licensed Assets may be used in deliverables created for clients.

However:

• Clients do not receive ownership or standalone access to the Licensed Assets
• Assets may not be transferred, shared, or resold to clients
• Each individual creating content using Maison Lu must hold their own active license

The Licensee may NOT:

• Resell, redistribute, or share Licensed Assets as standalone files
• Upload assets into other content libraries, templates, or databases
• Use assets in a way that allows extraction by third parties
• Sub-license, transfer, or provide access to others
• Use assets for TV, film, or app-based distribution without written approval

Licensed Assets may not be stored, organized, or redistributed in any shared library, database, cloud storage system, or internal tool that allows access by multiple users.

All Licensed Assets remain the intellectual property of Maison Lu or its contributing creators.

This Agreement grants usage rights only and does not transfer ownership.

Access to Licensed Assets is tied to an active subscription.

• Licensed Assets may only be downloaded and incorporated into content during an active membership
• The Licensee may continue to use content that was fully created and published during an active subscription

However:

• The Licensee may NOT download assets, cancel their subscription, and continue creating or scheduling new content using those assets after cancellation
• The Licensee may NOT maintain a backlog of unused or unposted Licensed Assets for future use after their membership ends

Maison Lu reserves the right to update this Agreement at any time.

Maison Lu reserves the right to suspend or terminate access if misuse, unauthorized sharing, or violation of these terms is detected.

By purchasing or using Maison Lu, the Licensee confirms they have read, understood, and agreed to this Agreement.
